The short answer

To register a One Person Company, obtain a DSC, reserve a name ending in (OPC) Private Limited through SPICe+ Part A, collect the nominee's consent in INC-3, file SPICe+ Part B with e-MoA, e-AoA and AGILE-PRO-S, pay stamp duty, and download the Certificate of Incorporation with CIN, PAN and TAN.

Typical time7 to 15 working days

Step 1: DSC and eligibility check

Confirm the member is an Indian citizen and natural person, and is not already a member of another OPC. Obtain a Class 3 DSC for the member-director.

Step 2: Name reservation

Propose names through SPICe+ Part A ending with (OPC) Private Limited. Check MCA and trademark databases first to avoid rejection.

The nominee signs Form INC-3 consenting to become the member if the original member dies or becomes incapacitated. Attach the nominee's PAN, ID and address proof.

Frequently asked questions

Can the nominee be changed later?

Yes. The member can change the nominee at any time by giving notice to the company and filing the prescribed form with the ROC along with the new nominee's consent. The nominee can also withdraw consent by giving notice.

Is a separate director needed in an OPC?

No. The sole member can also be the sole director. The OPC can appoint more directors up to 15 if needed, and additional directors do not need to be members.

Can an OPC be registered at a home address?

Yes. A residential address can be the registered office, supported by a recent utility bill and the owner's no-objection certificate, just as for a private limited company.

How long does OPC registration take?

Typically 7 to 15 working days once the DSC is ready and the name is approved. Delays usually come from name rejection or mismatched documents between the member and nominee.
