The short answer

The most common company registration mistakes are choosing a name that conflicts with a trademark, mismatched details across PAN, Aadhaar and DSC, stale or unsigned registered office documents, poorly drafted objects in the MoA, and ignoring post-incorporation deadlines such as INC-20A and auditor appointment. Each causes delay, resubmission or penalties.

Checking only the MCA company list is not enough. A name identical or similar to a registered trademark is rejected, and even if it slips through, the trademark owner can later force a change. Search the trademark registry in your business class, avoid generic descriptive words alone, and have a second-choice name ready.

Mistake 2: Inconsistent personal details

The single biggest cause of resubmission is a mismatch: a middle name on Aadhaar but not on PAN, a different date of birth on the DSC, or an old address. Align documents before filing, or use the document that matches PAN consistently everywhere.

Mistake 3: Weak registered office paperwork

  • Utility bill older than two months
  • Bill in one person's name but NOC signed by another
  • Address on the bill differing from the declared address

Each of these triggers a query. The fix is simple: a fresh bill, and a dated NOC signed by the person named on it.

Mistake 4: Copy-paste objects and articles

The MoA objects clause defines what the company can do. Vague or overly broad objects can lead to queries, while very narrow objects may require amendment later, for instance before registering for a regulated activity. The AoA should also reflect founder arrangements such as share transfer restrictions.

Mistake 5: Forgetting post-incorporation deadlines

  1. Appoint the first auditor within 30 days.
  2. Issue share certificates within 60 days.
  3. Receive share money and file INC-20A within 180 days.
  4. Calendar AOC-4, MGT-7 or MGT-7A and DIR-3 KYC every year.

Many penalties that founders pay in year two come from deadlines missed in year one.

Frequently asked questions

Can a salaried employee become a director of a private limited company?

Yes. The Companies Act does not stop a salaried employee from being a director or shareholder. However, the employment contract may restrict outside business interests or require disclosure, so employees should check their employer's policy before incorporating.

Can the same person be a director and shareholder?

Yes. The minimum two directors and two shareholders can be the same two people. This is the most common structure for startups, where the founders are both the owners and the directors of the company.

Can a company be registered without a physical office?

A registered office address is mandatory, but it can be a home, a rented space or a coworking address with proper documents. The company must be able to receive communications there and should display its name and CIN at the premises.

Can I change the company name after registration?

Yes. A company can change its name by passing a special resolution, getting name approval through RUN, and filing the resolution and altered MoA with the ROC. The ROC then issues a fresh certificate of incorporation with the new name.

Is a company required to have a website?

There is no general legal requirement for a private limited company to have a website. However, if a company has one, certain disclosures required under the Companies Act, such as policies or annual return details for some companies, must be placed on it.

What is the minimum paid-up capital required?

There is no minimum paid-up capital requirement for private limited companies since 2015. Founders can start with any amount they choose, though a very low capital may matter for bank loans, vendor credibility or specific regulatory licences.
