To register a private limited company, get digital signatures for the directors, reserve the name in SPICe+ Part A, file SPICe+ Part B with the e-MoA, e-AoA and AGILE-PRO-S, pay stamp duty, answer any ROC query, and download the Certificate of Incorporation with CIN, PAN and TAN. The process is fully online.
Step 1: Prepare digital signatures and a user account
Every proposed director and subscriber signs the forms with a Class 3 Digital Signature Certificate (DSC). Apply for these first, because PAN, Aadhaar and email details on the DSC must match the incorporation documents exactly. Create a business user login on the MCA V3 portal for the professional or director who will file.
Step 2: Reserve the company name
Use SPICe+ Part A to propose up to two names with their significance. Check the MCA name search and the trademark registry beforehand, because names that are identical or too similar to existing companies or registered trademarks are rejected.
- Avoid words that suggest government patronage without approval.
- Words such as Bank, Insurance or Stock Exchange need regulator approval.
- If rejected, you get one resubmission in the same application.
Once approved, the name is reserved for 20 days, within which Part B must be filed.
Step 3: File SPICe+ Part B
Part B captures the company's structure. You enter:
- Authorised and subscribed capital and the subscription of each shareholder
- Details of directors, including DIN applications for up to three new directors
- Registered office address with proof and owner NOC
- Declarations by subscribers and first directors, and professional certification

- INC-33 (e-MoA): objects of the company and subscriber details.
- INC-34 (e-AoA): internal rules on shares, meetings and management.
- INC-35 (AGILE-PRO-S): applications for GSTIN (optional), EPFO, ESIC, a bank account and, where applicable, professional tax and shops registration.
All linked forms are signed by the subscribers and directors and uploaded together with Part B.
Step 5: Pay fees, respond to queries and get the certificate
Pay the MCA fees (nil filing fee up to Rs 15 lakh authorised capital) and state stamp duty online. The Central Registration Centre examines the application. If a resubmission is requested, correct the form within the time allowed, usually 15 days. On approval, the Certificate of Incorporation is emailed with the CIN, and PAN and TAN are allotted at the same time.
Step 6: First actions after incorporation
- Open the company bank account and deposit the share subscription money.
- Hold the first board meeting within 30 days and appoint the first auditor.
- File INC-20A (commencement of business) within 180 days.
- Issue share certificates within 60 days and set up statutory registers.
Frequently asked questions
Can I file SPICe+ myself without a professional?
Directors can file SPICe+ themselves, but Part B requires certification by a practising Chartered Accountant, Company Secretary or Cost Accountant in many cases, along with declarations. Most founders use a professional to avoid resubmissions caused by drafting errors in the MoA, AoA and linked forms.
What happens if my proposed company name is rejected?
In SPICe+ Part A you get one opportunity to resubmit a new name within the same application. If that is also rejected, a fresh name application with a new fee is needed. Checking MCA and trademark databases before applying avoids most rejections.
How long is a name reserved after approval?
A name approved through SPICe+ Part A is reserved for 20 days, during which SPICe+ Part B must be filed. A name reserved through the separate RUN service is also valid for 20 days for a new company. The reservation can be extended on payment of an additional fee.
Is a bank account opened automatically through SPICe+?
AGILE-PRO-S lets you choose a partner bank, which then contacts the company to complete the account opening and KYC. The account is not active on incorporation itself: you still complete the bank's documentation before depositing share capital.
What is the most common reason for ROC resubmission?
Mismatches are the most common reason: director names differing between PAN, Aadhaar and DSC, an address proof not matching the declared registered office, or an unsigned or stale NOC from the property owner. Consistent documents usually mean approval on the first attempt.
