The short answer

LLP registration cost includes government fees for RUN-LLP and FiLLiP, which rise with the partners' total contribution, stamp duty on the LLP agreement set by the state, digital signatures for designated partners, and professional fees. An LLP is usually incorporated in 10 to 15 working days, with the agreement filed within 30 days after that.

Ongoing yearly costs

Plan for accounting, Form 11 and Form 8 filings, the income tax return, and a statutory audit if turnover exceeds Rs 40 lakh or contribution exceeds Rs 25 lakh. Late filing fees accrue daily, so a compliance plan saves money.

Frequently asked questions

Is LLP registration cheaper than company registration?

Setup costs are broadly comparable, but an LLP is usually cheaper to maintain because audit applies only above turnover or contribution thresholds and there are fewer mandatory meetings and filings. Companies need an audit every year regardless of size.

Does a higher contribution increase registration fees?

Yes. FiLLiP and Form 3 fees are slab-based on the partners' total contribution, and stamp duty on the agreement may also depend on it. Many LLPs start with a modest contribution and increase it later by amending the agreement.

How long does the whole LLP setup take?

With documents ready, incorporation typically takes 10 to 15 working days. Add a few more days to draft, stamp and file the LLP agreement. Delays mostly come from name rejections and ROC resubmission requests.

Are there penalties for late Form 3?

Yes. Filing the LLP agreement after 30 days attracts an additional fee for each day of delay. The same daily additional fee applies to late Form 8 and Form 11 filings every year.
