The short answer

Common LLP mistakes include not filing the LLP agreement within 30 days, drafting a vague agreement, overstating contribution, ignoring Form 8 and Form 11 in inactive years, and choosing an LLP when equity funding is planned. Each can mean late fees, disputes between partners or a costly conversion later.

Mistake: treating the LLP agreement as a formality

Without a filed agreement, the default rules of the First Schedule apply, including equal profit sharing. Spell out contribution, profit ratio, decision rights, exit valuation and non-compete terms. Most partner disputes trace back to a thin agreement.

Mistake: inflated contribution

Contribution is a real obligation. Declaring more than partners will actually bring in raises fees and creates a liability that creditors can enforce. Start realistic and increase later.

Mistake: ignoring filings in quiet years

Form 8 and Form 11 are due every year even with zero activity. Daily late fees accumulate quickly, and long non-compliance risks strike-off.

Mistake: choosing an LLP when you plan to raise equity

LLPs cannot issue shares or ESOPs, and most venture investors will ask you to convert to a private limited company first, which costs time and money. If fundraising is on the roadmap, start as a company.

Frequently asked questions

Can an LLP have just two partners?

Yes. The minimum is two partners, and both can be designated partners. At least one must be resident in India. There is no upper limit on the number of partners.

Can a partner's liability ever exceed their contribution?

Generally no, but a partner remains personally liable for their own wrongful acts or fraud. If the LLP carries on business with intent to defraud creditors, the liability of the partners involved can become unlimited.

Can an LLP be converted into a private limited company?

Yes. An LLP can convert into a company under the Companies Act by following the conversion procedure and filing with the ROC. Planning ahead of fundraising avoids delays in closing investment rounds.

Is GST registration mandatory for an LLP?

Only if turnover crosses the GST threshold or the LLP falls in a compulsory category, such as inter-state supply of goods or selling through e-commerce operators. Registration is not automatic on LLP incorporation.

Can an NRI be a partner in an Indian LLP?

Yes. NRIs and foreign nationals can be partners, subject to FDI rules for LLPs, which permit foreign investment under the automatic route in sectors where 100% FDI is allowed without conditions. At least one designated partner must be resident in India.
