The short answer

A registered partnership firm can sue third parties and its partners can enforce the deed in court. An unregistered firm cannot file suits to enforce contracts with third parties, and partners cannot sue each other for rights under the deed, because of Section 69 of the Indian Partnership Act. Both can be taxed and open bank accounts, but registration protects legal rights.

Frequently asked questions

Is an unregistered partnership illegal?

Can I register the firm after a dispute arises?

Registration can be done later, but courts look at registration status when the suit is filed, so register before filing any suit.

Many banks accept a partnership deed and PAN for opening accounts, though some prefer registration certificates.

Is tax different for unregistered firms?

No. Under current income tax law, registered and unregistered firms are taxed the same way as firms.
